How to pair an Apple Watch to a new phone?

To make a last backup, unpair the Watch with your old phone first. Next, install your new iPhone and leave it close to your Watch. Your new phone would suggest to you to pair; select the option of restoring with the latest Watch backup and proceed with the steps.
 
To pair your Apple Watch with a new iPhone, first unpair it from your old phone. Then, turn on your new iPhone and open the Apple Watch app. Follow the on-screen instructions to pair and restore your backup. Make sure both devices are close and connected to Wi-Fi.
 
If you still have your old iPhone (recommended)
  1. Keep both iPhones and the Apple Watch close and charged.
  2. On the old iPhone open the Watch app → My Watch → All Watches → tap the (i) next to your watch → Unpair Apple Watch. This automatically backs up the watch to the phone and erases the watch.
  3. Set up your new iPhone (sign in to iCloud).
  4. Open the Watch app on the new iPhone → Start Pairing → choose Restore from Backup and follow the on-screen prompts.
  5. Enter your Apple ID when asked (Activation Lock) and wait — your apps/settings will sync.
If you don’t have the old iPhone
  1. On the watch go to Settings → General → Reset → Erase All Content and Settings.
  2. On the new iPhone open the Watch app → Start Pairing → set up as new or restore from any iCloud backup and follow prompts.
  3. Sign in with your Apple ID when requested.
Tips: make sure Bluetooth & Wi-Fi are on, both devices have charge, and you're using the same Apple ID.

Keep both devices close until syncing finishes and you’re all set.
 
In order to first unpair your Apple Watch with your old iPhone before pairing it with your new phone. Next, remove the battery case from your new iPhone, then use the Watch app, then tap Start Pairing, and place your watch near the new phone. You can back up to working on a backup in order to retain your data.
